Terms & Conditions
1. Introduction
These Terms and Conditions ("Terms") apply to the services provided by GSL Marketing ("GSL", "we", "our", "us") to clients ("you", "your", "client"), including website design, branding, copywriting, search engine optimisation (SEO), social media management, advertising management, website maintenance and hosting, custom web applications, and lead generation services. By engaging GSL for any service, you agree to be bound by these Terms. They should be read together with the signed Master Services Agreement, Statement of Work, and any other agreement between us.
2. Agreement Documents
- Master Services Agreement (MSA): the principal legal agreement between GSL and the client, covering payment terms, confidentiality, intellectual property, client responsibilities, liability limitations, termination, and dispute resolution. It is normally signed once.
- Statement of Work (SOW): a project-specific document that defines the selected service or package, deliverables, price, payment schedule, start and completion dates, number of revisions, excluded items, client materials and approvals required, the acceptance process, and the additional-work rate. Each project has its own SOW.
- Data Processing Addendum (DPA): applies when GSL accesses or processes personal data on your behalf.
3. Quotations and Proposals
- Quotations and proposals are valid for the period stated in the document.
- A project begins only when you accept a proposal or purchase order and, where required, pay the agreed deposit.
- Any content, number, or data shown in proposals is an estimate based on the information available at the time and may change as the project develops.
4. Payment and Billing
- Payment terms are defined in the SOW or proposal and depend on the service. Common models are fixed-price milestones (for example 50% deposit, 30% after design approval, 20% before launch), monthly retainers paid in advance, and milestone or time-and-materials pricing for custom applications.
- Invoices are payable by the date stated. Late payment may delay work or suspend services.
- Monthly retainers renew automatically unless cancelled in line with the cancellation terms.
- Advertising management fees are separate from the advertising spend itself.
5. Your Obligations
You agree to:
- Provide accurate and complete information, materials, and content required for the project on time.
- Give approvals and feedback within the timeframes described in the SOW.
- Ensure you have the rights to any materials, text, images, or data you provide to us.
- Make decisions promptly so that the project can stay on schedule.
6. Project Process
- Work proceeds in the stages described in the SOW (for example kick-off, design, development, review, approval, launch).
- Each deliverable is accepted through the acceptance process in the SOW.
- Work that requires new requirements, changes to scope, or additional materials is priced as additional work at the rate stated in the SOW.
7. Revisions
The SOW states the number of revision rounds included in the price. Additional rounds or changes beyond the defined scope are billed at the additional-work rate. Minor corrections to fix errors in work already approved are made free of charge where reasonable.
8. Delivery and Acceptance
- Estimated completion dates are provided in good faith and may change because of factors outside our control, including delays in receiving your materials, feedback, or approvals.
- Deliverables are considered complete when shipped for your review. You should review and approve each deliverable without avoidable delay.
9. Intellectual Property
- Upon full payment, ownership of the final deliverables created for you transfers to you as set out in the intellectual property clause of the MSA.
- GSL retains ownership of its pre-existing tools, frameworks, processes, and know-how.
- GSL may use third-party fonts, images, or software that remain licensed to their respective owners; you are responsible for complying with those licences where required.
- You may not resell, redistribute, or sub-license the deliverables without our written consent, except as intended for your own business use.
10. Confidentiality
Each party will keep the confidential information of the other party private and will use it only for the purposes of the engagement. Confidential information includes business plans, customer lists, passwords, pricing, advertising data, and unreleased products. This obligation survives the end of the agreement.
11. Data Protection and Privacy
- Where GSL processes personal data on your behalf, a Data Processing Addendum applies and our Privacy Policy describes how data is handled.
- You are responsible for ensuring you have the legal basis to collect and share the personal data involved in the project, and for complying with applicable privacy laws, including applicable Canadian privacy law and the Saudi Personal Data Protection Law (PDPL).
- Please contact us to request the return or deletion of your data after the engagement ends.
12. Third-Party Services and Dependencies
Projects often rely on third-party platforms such as hosting providers, domain registrars, payment processors, advertising platforms, and email or analytics tools. Their availability, performance, and policies are outside our control. Any costs from those providers are your responsibility unless otherwise agreed.
13. Warranty
We provide services with reasonable skill and care and aim to meet the specifications in the SOW. We make no warranty that any specific business result (such as sales, leads, or rankings) will be achieved, because results depend on factors outside our work, including your offer, budget, sales process, and reputation.
14. Liability
To the maximum extent permitted by law, GSL is not liable for indirect, incidental, special, consequential, or punitive damages or for lost profits, revenue, or data. Our total liability for a project is limited to the amount paid to us for that project. Nothing in these Terms limits liability that cannot be limited by law.
15. Force Majeure
Neither party is liable for failure or delay caused by events outside its reasonable control, including natural disasters, pandemics, power or network outages, government action, or failure of third-party platforms.
16. Cancellation and Termination
- Fixed-price projects may be cancelled before completion; you pay for work completed up to the date of cancellation at the applicable rate.
- Monthly retainers and subscriptions can be cancelled in line with their renewal and cancellation terms. Fees already paid are not refunded unless required by law.
- We may suspend or terminate the engagement if you fail to pay when due or breach these Terms.
17. Changes to These Terms
We may update these Terms from time to time. The current version applies to any engagement that begins after it is published. For active long-term engagements, we will notify you of material changes.
